1. About ViaVerus

ViaVerus LLC ("ViaVerus," "we," "us," or "our") is a North Carolina limited liability company providing commercialization strategy consulting and structured training programs, including the Sell Now™ Bootcamp. Our principal place of business is in the Research Triangle area of North Carolina.

2. Acceptance of Terms

By visiting viaverus.com, submitting an inquiry form, or registering for any program or event, you agree to these Terms and Conditions and our Privacy Policy. If you do not agree, please do not use our site or services.

These terms apply to all visitors, users, program participants, and anyone who accesses or uses our website or services in any way.

3. Website Use

You may use our website for lawful purposes only. You agree not to:

• Use the site in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the site or its underlying systems
• Transmit any unsolicited or unauthorized advertising or promotional material
• Reproduce, duplicate, copy, or resell any portion of the site without our express written permission
• Use automated tools to scrape, crawl, or harvest content from the site

4. Program Registration and Payment

Registration: Registration for the Sell Now™ Bootcamp or any other ViaVerus program is confirmed only upon receipt of full payment. Seats are limited and are not held without payment.

Pricing: Program fees are stated at the time of registration. ViaVerus reserves the right to change pricing for future program cohorts at any time without notice.

Payment: Payment is due at the time of registration unless other arrangements have been made in writing. We accept payment through the methods specified at checkout.

5. Cancellation and Refund Policy

Participant cancellations: If you need to cancel your registration, please contact us as soon as possible. Refund eligibility is as follows:

• More than 14 days before the program start date: Full refund, minus any payment processing fees
• 7 to 14 days before the program start date: 50% refund
• Less than 7 days before the program start date: No refund. You may, however, transfer your registration to another individual at no charge with advance written notice.

Program cancellations by ViaVerus: In the event that ViaVerus cancels a program session, registered participants will receive a full refund or the option to transfer to a future cohort. ViaVerus is not responsible for any other costs incurred in connection with the cancellation, including travel or accommodation expenses.

6. Program Content and Delivery

ViaVerus reserves the right to modify program content, schedules, format (in-person or virtual), and instructors at any time. We will make reasonable efforts to notify registered participants of material changes in advance.

Program content is provided for educational purposes. Results will vary based on individual participant effort, market conditions, and other factors outside ViaVerus's control. ViaVerus makes no guarantee of specific business outcomes from participation in any program.

7. Intellectual Property

All content on viaverus.com and in ViaVerus programs, including but not limited to the Sell Now™ methodology, frameworks, materials, worksheets, presentations, and written content, is the intellectual property of ViaVerus LLC and is protected by copyright and trademark law.

Program participants are granted a limited, non-exclusive, non-transferable license to use materials provided during a program for their own internal business purposes. You may not:

• Reproduce, distribute, or publicly display program materials without written permission
• Resell or sublicense program content or frameworks to others
• Use the Sell Now™ name or mark in connection with any product, service, or training without our express written consent

8. Confidentiality

Program sessions may include open discussion among participants. Out of respect for all participants, you agree to treat information shared by other attendees as confidential and not to disclose it outside the program context without their consent.

9. Recording and Photography

ViaVerus may record program sessions for internal use, quality improvement, or marketing purposes. By participating, you consent to being recorded in group settings. If you object to being recorded, please notify us in writing prior to the program start date.

To the fullest extent permitted by law, ViaVerus LLC, its founders, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or participation in any program, even if ViaVerus has been advised of the possibility of such damages.

In no event shall ViaVerus's total liability to you for any claim arising from these terms or your use of our services exceed the amount you paid to ViaVerus in the six months preceding the claim.

Our website and programs may reference or link to third-party platforms, tools, or services. ViaVerus does not endorse and is not responsible for the content, accuracy, or practices of any third-party site or service. Your use of any third-party service is at your own risk and subject to that party's terms.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

Any dispute arising from or relating to these terms or your use of ViaVerus services shall first be addressed through good-faith negotiation. If the parties cannot resolve the dispute informally, it shall be submitted to binding arbitration in Wake County, North Carolina, under the rules of the American Arbitration Association.

You agree to indemnify and hold harmless ViaVerus LLC and its affiliates, officers, agents, and employees from any claim, liability, damage, or expense (including reasonable attorneys' fees) arising from your use of the site or services, your violation of these terms, or your violation of any third-party rights.

ViaVerus reserves the right to update these Terms and Conditions at any time. Changes will be effective upon posting to the website with an updated "Last Updated" date. Your continued use of the site or services after changes are posted constitutes your acceptance of the revised terms.
